SP AVATR SOFTWARE LICENCE AGREEMENT

This licence covers the SP Avatr software: SP IVI Studio, SP Service Starter,
SP Avatr Kit, SP Avatr Dashcam, SP Store, SP Cast, SP Map, SP Split Screen,
SP Installer, SP OTA Engine, the SP Broker, and every accompanying script,
document and data file (together, the "Software").

The Software is proprietary. It is licensed to you, not sold, and no ownership
passes to you. Nothing here is open source.


1. WHAT YOU MAY DO

Subject to every term below, you are granted a personal, non-exclusive,
non-transferable, revocable licence to:

  a. download and run the Software on vehicles you own, or that you are
     authorised in writing by the owner to service; and
  b. keep one backup copy of each downloaded artifact for your own use.

That is the whole of the grant. Any use not stated here is reserved.


2. WHAT YOU MAY NOT DO

You may not:

  a. sell, rent, lease, sublicense, publish, mirror, or otherwise distribute
     the Software or any part of it to anyone;
  b. modify, adapt, translate, or create derivative works from the Software;
  c. reverse engineer, decompile, disassemble, or attempt to derive the source
     code of the Software, except to the exact extent that applicable law
     grants you a right that cannot be waived by contract;
  d. remove, obscure, or alter any copyright notice, version string, footer,
     signature, or attribution the Software displays or carries;
  e. use the Software to provide a commercial vehicle-unlocking, flashing, or
     modification service to third parties without a separate written
     agreement with the copyright holder; or
  f. use the Software on a vehicle you neither own nor are authorised to
     service.


3. UPDATES AND THE SUPPORT SITE

The Software may download signed artifacts from the public support site. Each
download is verified against a published SHA-256 before it is installed. Those
artifacts are part of the Software and are covered by this licence. The
copyright holder may change, withdraw, or discontinue the support site at any
time without notice.


4. NO WARRANTY

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY
KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF
MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.


5. ASSUMPTION OF RISK

The Software modifies the software state of a motor vehicle's cockpit head
unit. Doing so may void your vehicle warranty, may cause loss of infotainment,
navigation, or connectivity function, and may in some jurisdictions affect the
vehicle's road-legal or type-approval status. You use the Software entirely at
your own risk, and you are solely responsible for confirming that your use is
lawful where you are.

The Software is not a driving aid. Do not operate it while the vehicle is in
motion.


6. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE COPYRIGHT HOLDER
BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR
CONSEQUENTIAL DAMAGES — INCLUDING DAMAGE TO A VEHICLE OR ITS ELECTRONICS, LOSS
OF USE, LOSS OF DATA, OR LOST PROFITS — ARISING IN ANY WAY OUT OF THE USE OF OR
INABILITY TO USE THE SOFTWARE, WHETHER IN CONTRACT, TORT, OR OTHERWISE, EVEN IF
ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.


7. TRADEMARKS

"Avatr", "Deepal", "Huawei", "HarmonyOS", and "Android" are the trademarks of
their respective owners. This Software is an independent work. It is not
produced, endorsed, sponsored, or supported by any vehicle manufacturer or by
any of those trademark holders, and no affiliation is claimed.


8. TERMINATION

This licence ends automatically, without notice, if you breach any term of it.
On termination you must stop using the Software and destroy every copy you
hold. Sections 4 through 7 and 9 survive termination.


9. GENERAL

This is the entire agreement between you and the copyright holder concerning
the Software, and it supersedes any earlier understanding. If any provision is
held unenforceable, the remainder stays in force. Failure to enforce a term is
not a waiver of it.
